Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern access to and use of the MONNETY digital platform (“MONNETY”, “Platform”, “we”, “our” or “us”).

By accessing or using the Platform, you agree to comply with these Terms and with the other policies and disclosures made available by MONNETY.

If you do not agree with these Terms, you should not use the Platform.

2. About MONNETY

MONNETY is an international digital platform designed to structure and present participation opportunities arising from real-world commercial and operational transactions.

The operation of the Platform is further described in the About MONNETY section.

Each opportunity is presented through a specific Opportunity Contract, which establishes the applicable conditions for that opportunity.

3. Eligibility

To use certain MONNETY services, users may be required to:

• Be legally capable of entering into agreements;
• Provide accurate and complete information;
• Complete identity or compliance verification where required;
• Comply with the laws applicable to their location.

MONNETY may restrict access to certain services, opportunities or jurisdictions where required by applicable laws, regulations or compliance requirements.

4. User Accounts

Certain Platform features require the creation of a user account.

Users are responsible for:

• Providing accurate information;
• Maintaining the confidentiality of their login credentials;
• Protecting access to their account;
• Notifying MONNETY of unauthorized access or suspicious activity.

Users must not create accounts using false identities or on behalf of another person without authorization.

MONNETY may suspend or terminate accounts where necessary to protect the Platform, its users or its compliance obligations.

5. Opportunity Contracts

Each opportunity available through MONNETY is governed by its respective Opportunity Contract.

The Opportunity Contract may define, among other things:

• Contract ID;
• Available M-Units;
• M-Unit Value;
• Minimum Participation;
• Maturity;
• Estimated Return, where applicable;
• Settlement Conditions;
• Operational Conditions.

Participants should review the applicable Opportunity Contract before acquiring any M-Units.

The conditions of one Opportunity Contract do not automatically apply to another opportunity.

6. M-Units and Participation

M-Units represent participation units associated with a specific Opportunity Contract.

Participants may acquire whole M-Units or permitted fractions according to the conditions established in the applicable Opportunity Contract.

The acquisition of M-Units is specific to the respective opportunity and does not automatically provide rights to any other MONNETY opportunity, asset or operation.

7. Payments

MONNETY may provide different payment methods depending on the user's location, the applicable opportunity and available payment infrastructure.

Payment methods may include:

• Bank transfer;
• Local payment methods;
• PIX;
• Card payments;
• Digital assets or stablecoins;
• Other payment methods made available through authorized providers.

Payments may be processed by independent third-party payment processors, financial institutions or digital-asset service providers.

Each provider may apply its own terms, fees, verification procedures and transaction requirements.

8. Settlement

Each Opportunity Contract establishes its own maturity and settlement conditions.

Where applicable, settlement will be processed according to the conditions established in the respective Opportunity Contract.

Participants may be required to provide valid payment or bank account information in order to receive settlement amounts.

Processing times may depend on banking systems, payment providers, verification procedures and other operational circumstances.

9. Estimated Returns

MONNETY may present estimated return amounts based on the terms and conditions applicable to each Opportunity Contract.

Estimated values are provided for reference and may be presented according to the information and parameters available at the time the opportunity is structured.

The applicable participation amount, maturity and settlement conditions are those established in the respective Opportunity Contract and M-Unit Agreement.

This information is intended to provide the Participant with a clear understanding of the economic conditions associated with the participation.

10. Settlement and Operational Delays

Settlement will be processed according to the applicable Opportunity Contract.

Operational delays may occur due to factors such as logistics, transportation, banking procedures, regulatory requirements or other circumstances affecting the underlying operation.

11. Prohibited Use

Users must not use the MONNETY Platform to:

• Engage in unlawful activities;
• Provide false or misleading information;
• Commit fraud or facilitate fraudulent activity;
• Circumvent identity or compliance procedures;
• Attempt to gain unauthorized access to the Platform;
• Interfere with Platform security or functionality;
• Misuse MONNETY intellectual property;
• Use the Platform on behalf of another person without authorization.

MONNETY may restrict or terminate access where prohibited or suspicious activity is identified.

12. Third-Party Services

MONNETY may integrate or rely on third-party services, including payment processors, banks, custodians, identity verification providers, technology providers and other service providers.

These third parties operate under their own terms and policies.

MONNETY is not responsible for the independent services, systems or policies of third-party providers.

13. Intellectual Property

The MONNETY name, logo, Platform, software, design, content, documentation and other materials made available through the Platform are protected by applicable intellectual property rights.

Users may not reproduce, modify, distribute, sell or commercially exploit MONNETY materials without prior authorization.

14. Platform Availability

MONNETY seeks to maintain the availability and security of the Platform but does not guarantee uninterrupted or error-free operation.

The Platform may occasionally be unavailable due to:

• Maintenance;
• Technical failures;
• Security events;
• Third-party service interruptions;
• Network failures;
• Regulatory requirements;
• Other circumstances beyond MONNETY's reasonable control.

15. Privacy

The collection and processing of personal information is governed by the MONNETY Privacy Policy.

Users should review the Privacy Policy to understand how personal information may be collected, processed, stored and shared.

16. Changes to These Terms

MONNETY may update these Terms from time to time.

Updated Terms will be published on the Platform together with the applicable revision date.

Continued use of the Platform after an update may constitute acceptance of the revised Terms where permitted by applicable law.

17. Suspension and Termination

MONNETY may suspend or terminate access to the Platform where necessary to:

• Protect the Platform or its users;
• Prevent fraud or abuse;
• Comply with legal or regulatory requirements;
• Enforce these Terms;
• Address security or compliance concerns.

Termination of an account does not automatically cancel contractual obligations or rights arising from previously completed transactions or applicable Opportunity Contracts.

18. Electronic Communications

Users agree that MONNETY may communicate electronically regarding:

• Account activity;
• Transactions;
• Opportunity Contracts;
• M-Unit Agreements;
• Payments;
• Settlement;
• Security;
• Service updates;
• Other matters relating to the Platform.

Electronic records and communications may be maintained as part of MONNETY's transaction records.

19. Governing Law and Dispute Resolution

The applicable governing law and dispute resolution mechanism will be established in accordance with the legal structure and jurisdiction applicable to MONNETY and the relevant contractual relationship.

Where an Opportunity Contract contains specific dispute resolution provisions, those provisions will apply to the relevant participation.
